Please read these Terms and Conditions carefully before using the Apna City platform, including the website (apnacity.in), mobile application, and related services. By accessing or using Apna City, you agree to these Terms and Conditions. If you do not agree with these Terms, please do not use the platform or its services. Apna City is operated by Grovyo Platforms Pvt Ltd. These Terms are governed by applicable laws of India.
Apna City ("Platform", "we", "us", "our") is owned, operated, and managed by Grovyo Platforms Pvt Ltd, a company incorporated under the Companies Act, 2013 under the laws of India (hereinafter referred to as "Company", "Grovyo", or "Grovyo Platforms"). Company Name : Grovyo Platforms Pvt Ltd Brand / Platform : Apna City Website : https://apnacity.in Business Portal : https://business.apnacity.in Nature of Business: Hyperlocal city discovery, engagement, and business promotion platform Governing Law : Laws of the Republic of India Apna City is a hyperlocal discovery and engagement platform built for Indian cities. It enables consumers to discover local offers, flash sales, events, restaurants, cafes, shopping destinations, hidden gems, and city-specific experiences. It simultaneously provides local businesses with tools to enhance digital visibility, promote offers, drive footfall, and engage hyperlocal audiences.
For the purposes of these Terms and Conditions, the following definitions apply: "Platform" means the Apna City website (apnacity.in), mobile application (if applicable), business portal, and all related sub-domains, pages, and services operated by Grovyo Platforms Pvt Ltd. "User" means any individual who accesses, browses, or uses the Platform in any capacity, including registered and unregistered users. "Business Partner" or "Business" means any enterprise, sole proprietorship, partnership firm, LLP, or company that lists, registers, or promotes its services on the Platform. "Creator" means any individual or entity registered on the Platform as a city creator, local influencer, or content curator. "Content" means all text, images, graphics, videos, offers, listings, reviews, recommendations, and other material uploaded, submitted, or published on the Platform. "Offer" means any discount, deal, coupon, flash sale, promotional scheme, or limited-time offer published by a Business on the Platform. "Services" means all services offered by Grovyo through the Platform, including discovery, listing, promotion, analytics, and communication tools. "Account" means a registered profile created by a User, Business, or Creator on the Platform. "Intellectual Property" means all patents, trademarks, trade names, service marks, copyrights, trade secrets, software, database rights, domain names, and other proprietary rights owned by Grovyo Platforms Pvt Ltd. "Applicable Laws" means all laws, regulations, rules, guidelines, and orders of the Government of India and relevant State Governments applicable to the use of the Platform.
3.1 By accessing, browsing, registering, or using the Platform in any manner, you confirm that: You have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy. You are of legal age (18 years or above) or, if a minor, accessing the Platform under the supervision of a parent or legal guardian who agrees to these Terms on your behalf. You have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872. Your use of the Platform does not violate any Applicable Laws in your jurisdiction. 3.2 If you are using the Platform on behalf of a Business, you represent and warrant that you have the authority to bind that Business to these Terms, and "you" shall refer to both you individually and that Business. 3.3 These Terms operate alongside any additional terms, policies, or agreements applicable to specific features of the Platform (including but not limited to the Business Partner Agreement, Creator Policy, and Offer Publication Policy), all of which are incorporated herein by reference.
4.1 The Platform is available to persons above the age of 18 years. Persons below 18 years may use the Platform only with the consent and active supervision of a parent or legal guardian. 4.2 By using the Platform, you represent and warrant that you are not: Barred from receiving services under any Applicable Laws. A person whose Account has been previously suspended or terminated by Grovyo for violation of these Terms. Acting on behalf of a competitor for the purpose of gathering competitive intelligence. 4.3 Grovyo reserves the right to refuse access to, or terminate the Account of, any user at its sole discretion.
5.1 Registration Certain features of the Platform require you to create an Account. You may register using your mobile number via OTP-based authentication. You agree to provide accurate, current, and complete information during registration and to update such information if it changes. 5.2 Account Security You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You agree to notify Grovyo immediately at support@apnacity.in if you become aware of any unauthorized use of or access to your Account. 5.3 Account Restrictions You may not create more than one Account per mobile number. You may not transfer, sell, or assign your Account to another person. Grovyo reserves the right to merge duplicate Accounts or take any other remedial action. 5.4 Business Accounts Business Partners must complete the business verification process as required by Grovyo before their listings are made publicly visible. Business listings will remain hidden until verification is approved. If material details (such as business name, address, or legal identity) change after approval, re-verification may be required.
Subject to your compliance with these Terms, Grovyo grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial purposes (if you are an individual User) or for legitimate business promotion (if you are a Business Partner), as applicable. You may use the Platform to: Discover local businesses, offers, events, and experiences in Indian cities. Save, share, and recommend places to others. Create and manage business listings, offers, and events (Business Partners only). Publish local content and guides (Creators only, subject to Creator Policy). Submit hidden gem nominations, city demand requests, and community recommendations.
You agree that you will NOT do any of the following while using the Platform: 7.1 Illegal & Harmful Activities Use the Platform for any purpose that is unlawful, fraudulent, deceptive, or harmful under Applicable Laws, including the Information Technology Act, 2000, the Indian Penal Code, 1860 (as applicable), or the Bharatiya Nyaya Sanhita, 2023. Publish, upload, transmit, or share any content that is defamatory, obscene, pornographic, hateful, discriminatory, threatening, or promotes violence or illegal activities. Engage in activities that violate the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. 7.2 Platform Integrity Attempt to probe, scan, or test the vulnerability of the Platform or breach any security measures. Use any robot, spider, scraper, or other automated means to access or scrape the Platform without express written permission from Grovyo. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform. Introduce any virus, malware, Trojan horse, worm, or other malicious code. Interfere with or disrupt the servers, networks, or infrastructure of the Platform. 7.3 Offer & Listing Fraud Publish false, misleading, exaggerated, or expired offers or discounts on the Platform. Create fake business listings, duplicate listings, or impersonate another business. Manipulate ratings, reviews, or trending algorithms through artificial means. Use the Platform to make false claims about competitors' products or services. 7.4 Intellectual Property Violations Upload, distribute, or transmit any Content that infringes the intellectual property rights of any third party, including copyrights, trademarks, or patents. Use the Apna City name, logo, or brand identity without prior written consent from Grovyo Platforms Pvt Ltd. 7.5 Privacy Violations Collect, harvest, or store personal data of other users without their explicit consent. Use the Platform to send unsolicited communications, spam, or promotional messages without the recipient's consent. Engage in stalking, harassment, or abuse of any user, business, or creator on the Platform.
Business Partners using the Platform to list their businesses, offers, or events agree to the following obligations, in addition to all other provisions of these Terms: 8.1 Accuracy of Information Business Partners represent and warrant that all information submitted during onboarding and published on the Platform — including business name, address, category, contact details, photos, offers, pricing, and timings — is accurate, current, complete, and not misleading. Business Partners are solely responsible for updating this information as and when it changes. 8.2 Offer Compliance All offers, discounts, and promotions published on the Platform must be genuine, lawful, and capable of being honoured by the Business. Business Partners must not: Publish offers that are not available in reality or are deceptively different from those advertised. Apply conditions or restrictions on offers that are not disclosed on the Platform. Violate the Consumer Protection Act, 2019 or the Consumer Protection (E-Commerce) Rules, 2020 in their promotional activities. 8.3 Legal Compliance Business Partners must ensure that their business operations, offers, and listed products/services comply with all Applicable Laws, including but not limited to FSSAI regulations (for food businesses), local municipal laws, GST regulations under the CGST Act, 2017, and any applicable licences and permits. 8.4 Non-Interference Business Partners must not attempt to game, manipulate, or unduly influence the Platform's ranking algorithms, trending scores, or recommendation systems. 8.5 Grovyo's Right to Moderate Grovyo reserves the right, at its sole discretion and without prior notice, to approve, reject, modify, delist, or remove any Business listing, offer, event, or content that Grovyo determines to be in violation of these Terms, factually inaccurate, or otherwise inappropriate for the Platform.
Creators approved to publish content on the Platform agree to the following: All content published must be original, factually accurate, and based on genuine personal experience or knowledge. Content must be respectful, inclusive, and free from hate speech, discrimination, or targeted harassment. Creators must disclose any material commercial relationships with featured businesses, in compliance with the Advertising Standards Council of India (ASCI) Guidelines for Influencer Advertising. Creators must not publish content that infringes any third-party intellectual property rights. Creators acknowledge that Grovyo may feature, promote, or republish their content on the Platform and associated social media channels, with appropriate attribution. Grovyo reserves the right to approve, reject, edit, or remove any content submitted by Creators that does not meet the Platform's quality standards or violates these Terms.
10.1 Responsibility: Grovyo operates as an intermediary under the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. Grovyo does not own the user-generated content posted on the Platform and is not responsible for the accuracy, completeness, or legality of such content. 10.2 Licence Grant: By submitting any Content to the Platform, you grant Grovyo Platforms Pvt Ltd a non-exclusive, royalty-free, perpetual, irrevocable, worldwide licence to use, display, reproduce, modify, distribute, and create derivative works from such Content in connection with the Platform and its promotion, subject to your right to delete your Account. 10.3 Takedown & Grievance: Grovyo shall act on valid takedown requests related to unlawful content as per the IT Rules, 2021. Users may report objectionable content through the Platform's reporting mechanism or by contacting our Grievance Officer (details in Section 22). 10.4 Prohibited Content: The following categories of content are strictly prohibited on the Platform and may result in immediate removal and Account termination: Content that is sexually explicit, obscene, or exploitative, particularly involving minors. Content that promotes or glorifies violence, terrorism, or communal disharmony. Fake reviews, paid reviews not disclosed as sponsored, or review manipulation. Content that constitutes defamation or spreads misinformation about any person or business. Any content in contravention of the IT Act, 2000, IT Rules, 2021, or any other Applicable Law.
11.1 All intellectual property rights in the Platform, including but not limited to its name "Apna City", the Grovyo Platforms Pvt Ltd brand, logos, trademarks, service marks, trade dress, software, database architecture, UX designs, proprietary algorithms, and all content created by Grovyo, are and shall remain the exclusive property of Grovyo Platforms Pvt Ltd. 11.2 Nothing in these Terms grants you any ownership in, or right to use, Grovyo's intellectual property other than the limited licence expressly set out herein. 11.3 The Apna City name, logo, and associated marks are proprietary to Grovyo Platforms Pvt Ltd. Any unauthorised use, reproduction, modification, or distribution of Grovyo's intellectual property is strictly prohibited and may result in civil and/or criminal liability. 11.4 Any third-party trademarks, product names, and company names mentioned on the Platform are the property of their respective owners. Grovyo does not claim any ownership over such third-party intellectual property.
12.1 Basic Listing: Basic business listings on Apna City are currently provided free of charge. Grovyo reserves the right to introduce fees for premium, featured, or sponsored placements at any time, subject to prior notice to Business Partners. 12.2 Premium Services: Where Grovyo offers paid features (including but not limited to featured placements, sponsored offers, boosted listings, or analytics dashboards), the applicable fees, billing cycles, and terms will be communicated separately and will constitute a part of these Terms upon acceptance. 12.3 Taxes: All fees are exclusive of applicable taxes. Business Partners are responsible for all applicable taxes, including Goods and Services Tax (GST) under the CGST Act, 2017, that may be levied on the services received from the Platform. 12.4 Refunds: Fees paid for premium services are non-refundable except where expressly stated otherwise or as required under Applicable Laws. 12.5 Offers & Transactions: Grovyo is a discovery and promotion platform only. Grovyo is not a party to any transaction between users and businesses. All purchases, redemptions of offers, and exchanges of consideration are solely between the user and the Business Partner. Grovyo accepts no liability for any dispute arising from such transactions.
The Platform may contain links to third-party websites, services, applications, or social media pages (including Google Maps, Instagram, and other platforms). These links are provided solely for your convenience. Grovyo does not endorse, control, or take responsibility for the content, privacy practices, or terms of any third-party service. Your interaction with third-party services is governed by their respective terms and privacy policies.
14.1 The Platform and all content, services, and information provided thereon are offered on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory. 14.2 Grovyo does not warrant that: The Platform will be uninterrupted, error-free, or free from viruses or other harmful components. The information, offers, listings, ratings, or reviews on the Platform are accurate, complete, reliable, or up to date. The Platform will meet your specific requirements or expectations. 14.3 Grovyo does not independently verify the accuracy of business listings, offers, or reviews posted by users or Business Partners. Users are advised to independently verify any information before relying upon it for any purpose. 14.4 Grovyo is not responsible for any failure of a Business to honour an advertised offer, discount, or promotion. Any claim arising from such failure must be addressed directly to the Business concerned.
15.1 To the maximum extent permitted under Applicable Laws: Grovyo Platforms Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or related to your use of or inability to use the Platform. Grovyo's total aggregate liability to you for any claim arising under or related to these Terms or the Platform shall not exceed the amount (if any) paid by you to Grovyo in the three (3) calendar months immediately preceding the event giving rise to such claim, or INR 1,000 (Indian Rupees One Thousand), whichever is lower. 15.2 The limitations above apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Grovyo has been advised of the possibility of such damages. 15.3 Nothing in these Terms limits or excludes liability for death, personal injury, or fraud caused by Grovyo's gross negligence or wilful misconduct to the extent such limitation or exclusion is prohibited by Applicable Laws.
You agree to indemnify, defend, and hold harmless Grovyo Platforms Pvt Ltd, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: Your use of or access to the Platform. Any Content you submit, publish, or transmit through the Platform. Your violation of these Terms or any Applicable Laws. Your infringement of any intellectual property or other rights of any third party. Any dispute between you and another user, Business, or Creator on the Platform.
17.1 By Grovyo: Grovyo reserves the right to suspend, restrict, or permanently terminate your access to the Platform, or to remove or delist any Account, listing, offer, or content, at any time and without prior notice, if Grovyo reasonably believes that: You have violated any provision of these Terms. Your conduct is likely to harm Grovyo, other users, Business Partners, Creators, or third parties. Required to do so by law, court order, or direction of a competent authority. Grovyo is discontinuing the Platform or a particular feature thereof. 17.2 By You: You may deactivate your Account at any time through the Platform settings or by contacting us at support@apnacity.in. Upon deactivation, your personal data will be handled in accordance with our Privacy Policy. 17.3 Effect of Termination: Upon termination, your right to use the Platform ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution shall survive termination.
Grovyo shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay is caused by circumstances beyond Grovyo's reasonable control, including but not limited to acts of God, natural disasters, governmental actions, civil unrest, war, terrorism, strikes, power failures, internet outages, or failure of third-party service providers. In such events, Grovyo will attempt to resume services as soon as reasonably practicable.
19.1 Grovyo reserves the right to modify, update, suspend, or discontinue the Platform (or any part thereof) at any time and without liability to you. 19.2 Grovyo reserves the right to amend these Terms at any time. Material changes will be notified to registered users via the Platform, email, or SMS. Your continued use of the Platform after any amendment constitutes your acceptance of the revised Terms.
20.1 Governing Law These Terms shall be governed by and construed in accordance with the laws of the Republic of India, including without limitation the Indian Contract Act, 1872; the Information Technology Act, 2000; the Consumer Protection Act, 2019; and the Digital Personal Data Protection Act, 2023. 20.2 Informal Resolution In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Platform, the parties agree to first attempt to resolve the matter informally by contacting Grovyo's Grievance Officer (details below). The parties will negotiate in good faith to resolve the dispute within 30 (thirty) days of the notice. 20.3 Arbitration If the dispute is not resolved informally within 30 days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties, or appointed under the said Act in default of agreement. The seat of arbitration shall be Lucknow, Uttar Pradesh, India. The language of arbitration shall be English. The award of the arbitrator shall be final and binding. 20.4 Jurisdiction Subject to the arbitration clause above, the courts of competent jurisdiction at Lucknow, Uttar Pradesh, India shall have exclusive jurisdiction over any matter arising out of or in connection with these Terms that is not subject to arbitration, or in respect of interim relief. 20.5 Consumer Disputes Nothing in this Section 20 prevents a consumer from approaching the appropriate consumer forum or commission under the Consumer Protection Act, 2019 for redressal of grievances.
The Platform and its operations are in compliance with the following key legislations (as applicable and as amended from time to time): • Information Technology Act, 2000 • Information Technology (Amendment) Act, 2008 • Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 • Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 • Digital Personal Data Protection Act, 2023 • Consumer Protection Act, 2019 • Consumer Protection (E-Commerce) Rules, 2020 • Indian Contract Act, 1872 • Companies Act, 2013 • Competition Act, 2002 (as amended) • Goods and Services Tax (GST) legislations under the CGST Act, 2017 • Bharatiya Nyaya Sanhita, 2023 (successor to Indian Penal Code, 1860)
In accordance with the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Grovyo Platforms Pvt Ltd has appointed a Grievance Officer to address complaints and grievances raised by users. If you believe your complaint has not been addressed satisfactorily, you may escalate the matter to the appropriate regulatory authorities under Applicable Laws.
23.1 Entire Agreement These Terms, together with our Privacy Policy and any additional terms applicable to specific features of the Platform, constitute the entire agreement between you and Grovyo Platforms Pvt Ltd with respect to your use of the Platform and supersede all prior agreements, representations, or understandings. 23.2 Severability If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. 23.3 Waiver Grovyo's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision in the future. 23.4 Assignment You may not assign or transfer your rights or obligations under these Terms without Grovyo's prior written consent. Grovyo may freely assign its rights and obligations under these Terms, including in connection with a merger, acquisition, or sale of assets. 23.5 Language These Terms are written in English. In the event of any conflict between an English version and any translated version of these Terms, the English version shall prevail. 23.6 Electronic Agreement You agree that these Terms, entered into electronically, are enforceable and legally binding under the Information Technology Act, 2000, and the Indian Evidence Act / Bharatiya Sakshya Adhiniyam, 2023.
